Terms and Conditions

Last Updated: September 9, 2026

These Terms and Conditions (“Terms”) govern access to and use of the website located at https://www.zehenai.com (the “Website”) and the AI voice-agent, AI front-office, workflow automation, booking, scheduling, integration, dashboard, support and related services provided by ZEHEN AI (collectively, the “Services”).

ZEHEN AI is operated by Aman Hussain, a sole proprietor based in India. In these Terms, “ZEHEN AI,” “we,” “us,” and “our” refer to Aman Hussain trading as ZEHEN AI. “Client,” “you,” and “your” refer to the business or professional user accessing the Website or purchasing/using the Services.

By accessing the Website, requesting a demo, engaging with ZEHEN AI, creating an account, accepting an order form, paying an invoice, or using the Services, you agree to these Terms. If you do not agree, do not use the Website or Services.

1. Scope and Order of Precedence

These Terms apply to the Website and Services unless ZEHEN AI and the Client enter into a separate written agreement, order form, statement of work, Data Processing Addendum (“DPA”) or other document signed or expressly accepted by both parties.

If there is a conflict between these Terms and a signed or expressly accepted client-specific agreement, the client-specific agreement controls only to the extent of that conflict. A DPA controls with respect to personal-data processing where it expressly applies.

2. Business Services Only

The Services are offered solely for business and professional use. They are not intended for personal, household or consumer use.

By using the Services, you represent and warrant that:

  • you are at least 18 years old;

  • you are acting in the course of a trade, business, craft or profession;

  • you have authority to bind the business or organisation you represent; and

  • you will use the Website and Services only for lawful business purposes.

If you are not authorised to bind the business you represent, you must not access or use the Services.

3. Nature of the Services

ZEHEN AI provides B2B AI-enabled services, which may include:

  • AI voice-agent setup, configuration, maintenance and management;

  • inbound call handling, call routing, qualification, booking and follow-up workflows;

  • AI front-office and operational workflow systems;

  • scheduling, appointment, job-tracking and client-authorised integrations;

  • dashboards, reporting, automation and related operational tools;

  • consulting, implementation, support, maintenance and professional services.

The precise scope, deliverables, implementation timeline, service configuration, integrations, fees, usage limits and support arrangements may be stated in an applicable order form, proposal, statement of work, invoice or separate agreement.

ZEHEN AI does not sell or provide physical hardware unless expressly agreed in writing.

4. Access, Accounts and Security

You may need to provide account details, system access, integration credentials, business information or authorised-user details to receive certain Services.

You agree to:

  • provide accurate, current and complete information;

  • keep login credentials, access links, API keys and account details confidential;

  • limit access to authorised users only;

  • promptly notify us at support@zehenai.com of unauthorised access, a suspected security incident, loss of credentials or misuse of the Services; and

  • cooperate reasonably with measures needed to protect the Services, Client Data and systems.

ZEHEN AI may suspend or restrict access where reasonably necessary to address security risk, suspected fraud, unlawful activity, misuse, a material breach, non-payment, service-provider requirements or technical protection.

5. Client Responsibilities

The Client is solely responsible for:

  • providing accurate and timely data, workflow instructions, branding, escalation contacts, appointment availability, integration access and other information needed for service delivery;

  • configuring and maintaining adequate human oversight, escalation and emergency-handling procedures;

  • reviewing outputs, call results, bookings, messages, transcripts, AI-generated summaries and recommendations before relying on them for material operational decisions;

  • maintaining appropriate backups and records for the Client’s own business;

  • ensuring the Client’s products, services, customer communications and business practices are lawful; and

  • ensuring that its authorised users comply with these Terms.

The Client must not provide ZEHEN AI with data that it has no legal right to use, disclose or instruct ZEHEN AI to process.

6. Communications, Marketing, Voice and Recording Compliance

The Client is solely responsible for ensuring that its use of the Services complies with all applicable laws, regulations, regulatory guidance and industry rules relating to calls, messages, privacy, marketing, consent, call recording, telecommunications, consumer protection and data protection.

Depending on the Client’s location, the nature of the communication and the persons contacted, these obligations may include:

  • the US Telephone Consumer Protection Act (“TCPA”), Telemarketing Sales Rule, state privacy/telemarketing laws, do-not-call requirements and caller-ID rules;

  • UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations (“PECR”), Ofcom requirements, Telephone Preference Service requirements and other UK marketing/communications laws;

  • India’s applicable telecommunications, data-protection, TRAI and consumer-protection requirements; and

  • all other applicable local, state, federal, national or international laws.

Before using the Services to contact, record, monitor, transcribe, analyse or communicate with any individual, the Client must ensure that it has all required legal grounds, notices, permissions and consents.

The Client must:

  • clearly identify itself where required;

  • provide legally required call-recording, AI-interaction and privacy notices;

  • maintain and honour applicable opt-out, do-not-contact and suppression requests;

  • use valid and lawful caller-identification information;

  • avoid misleading, deceptive, harassing, abusive or nuisance communications; and

  • retain evidence of consent or other lawful grounds where required.

The Services must not be used to make automated or prerecorded marketing calls, robocalls, artificial-voice marketing calls, or similar outbound marketing communications unless the Client has obtained all legally required, specific prior consent and has implemented all required disclosures, opt-outs and compliance controls.

For UK communications, the Client acknowledges that automated marketing calls generally require specific consent from the recipient. For US communications, the Client acknowledges that automated/artificial or prerecorded voice calls and texts may be subject to consent and other restrictions. ZEHEN AI does not provide legal advice and does not determine whether a Client’s campaign, call list, script, consent records or use of the Services is lawful.

The Client will immediately stop any use of the Services that ZEHEN AI reasonably believes may be unlawful, harmful or likely to expose ZEHEN AI, its providers or others to legal, regulatory, financial or reputational risk.

7. Emergency and Safety-Critical Use

The Services are not emergency services, emergency dispatch systems, medical services, legal services, safety-monitoring systems or guaranteed emergency-response tools.

The Client must not rely on the Services as the sole method for receiving or responding to emergency, life-safety, medical, gas-leak, fire, electrical-hazard, carbon-monoxide, security or other urgent communications.

The Client is responsible for maintaining suitable emergency procedures, staff availability, escalation contacts and alternative communication methods. The Client must configure the Services so that callers are not misled into believing that ZEHEN AI guarantees emergency response, emergency dispatch or immediate human assistance.

8. Acceptable Use

The Client must not, and must not permit any user or third party to:

  • use the Services unlawfully or in breach of any applicable privacy, telemarketing, communications, consumer-protection, intellectual-property or data-protection law;

  • send spam, make nuisance calls, engage in harassment, fraud, deception, impersonation, phishing or misleading communications;

  • use unlawful, scraped, purchased, deceptive, unconsented or otherwise improperly obtained call lists, telephone numbers or personal data;

  • use the Services to harm, exploit or discriminate against individuals;

  • upload malware, interfere with the Services, attempt unauthorised access, reverse engineer or circumvent security measures;

  • reproduce, resell, lease, sublicense, distribute, transfer or make the Services available to an unauthorised third party, except as expressly agreed in writing;

  • use the Services to develop, train or improve a competing product or service;

  • infringe the rights of ZEHEN AI, a service provider, a client, an individual or any third party; or

  • use the Services in a way that could materially damage ZEHEN AI’s systems, reputation, relationships with service providers or legal compliance.

ZEHEN AI may investigate suspected violations and may suspend, restrict or terminate access immediately where reasonably necessary.

9. Fees, Payment and Taxes

Unless otherwise agreed in writing:

  • a one-time setup, onboarding, configuration or implementation fee is due in advance before work begins;

  • recurring subscription, managed-service or monthly fees are due in advance, at least seven days before the start of the applicable billing period;

  • usage-based charges, third-party charges, telephony charges, AI-provider charges, integration charges, overages or out-of-scope work may be invoiced separately where applicable and disclosed in the relevant agreement, invoice or proposal;

  • all fees are payable in the currency and by the payment method specified by ZEHEN AI; and

  • fees are exclusive of applicable taxes, duties, levies, bank charges and similar governmental charges unless the invoice expressly states otherwise.

The Client is responsible for all applicable taxes other than taxes based on ZEHEN AI’s net income. If withholding is required by law, the Client must provide appropriate evidence and cooperate reasonably to minimise withholding where lawfully possible.

Late or unpaid amounts may result in suspension of Services, removal of access, delayed support, recovery costs and termination. ZEHEN AI may change pricing for a future renewal or new scope of work by giving reasonable notice.

Refund and cancellation treatment is addressed in our Refund & Cancellation Policy and any applicable client-specific agreement.

10. Minimum Commitment and Cancellation

Unless an order form, proposal or signed agreement states otherwise:

  • the Services have a minimum initial commitment of three months;

  • the Client may not terminate for convenience during that minimum commitment period except as expressly agreed in writing or where required by non-excludable law;

  • after the minimum commitment period, either party may terminate for convenience by giving at least 15 days’ prior written notice; and

  • cancellation does not relieve the Client of fees accrued, due or committed during the applicable minimum term or current billing period.

Setup, onboarding, implementation and configuration work may begin promptly after payment and may involve time, third-party costs and resources that cannot be recovered. Treatment of fees is governed by the Refund & Cancellation Policy and applicable agreement.

11. Suspension and Termination

ZEHEN AI may suspend or terminate all or part of the Services immediately, with or without prior notice where reasonably necessary because of:

  • non-payment;

  • a breach of these Terms or a client-specific agreement;

  • unlawful, fraudulent, deceptive, abusive or prohibited use;

  • a security incident, credible security threat or misuse of credentials;

  • legal, regulatory, carrier, platform, telecommunications or service-provider requirements;

  • a risk of material harm to ZEHEN AI, its providers, other clients or individuals; or

  • insolvency, cessation of business or material inability to pay.

Upon termination or expiry:

  • the Client must immediately stop using the Services;

  • all accrued and unpaid charges become immediately due;

  • access credentials, integrations and permissions may be disabled;

  • ZEHEN AI may delete or return Client Data in accordance with the applicable DPA, service agreement, retention settings and law; and

  • upon written request made within 30 days after termination, ZEHEN AI may provide commercially reasonable assistance to export available Client Data, subject to technical feasibility, security requirements and applicable fees.

Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, acceptable use, liability limitations, indemnity, dispute provisions and data-protection obligations.

12. Intellectual Property and License

ZEHEN AI and its licensors retain all right, title and interest in and to the Website, Services and all related materials, including software, source code, workflows, agent configurations, prompts, templates, models, documentation, designs, dashboards, methodologies, know-how, trademarks, trade names, analytics, improvements and intellectual property rights.

Subject to the Client’s timely payment and compliance with these Terms, ZEHEN AI grants the Client a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable service term to use the Services solely for the Client’s internal business purposes.

No ownership rights are transferred to the Client. The Client may not copy, modify, create derivative works from, decompile, reverse engineer, disassemble, distribute, sell, lease, rent, sublicense or exploit the Services except where expressly permitted by mandatory law or written agreement.

The Client retains ownership of Client Data. The Client grants ZEHEN AI a limited right to host, copy, transmit, process and use Client Data only as necessary to provide, secure, support and improve the Services in accordance with the applicable agreement, DPA and law.

ZEHEN AI may use feedback, suggestions and improvement ideas provided by the Client without restriction or compensation, provided that ZEHEN AI will not publicly identify the Client as the source without permission.

13. Third-Party Services and Integrations

The Services may integrate with, depend on or interoperate with third-party products or services, such as telephony providers, AI/large-language-model providers, hosting providers, calendar systems, automation platforms, CRM systems, productivity tools and payment processors.

Third-party services are governed by their own terms, privacy policies, availability, pricing, technical limitations and security practices. ZEHEN AI does not control and is not responsible for third-party services, outages, policy changes, data loss, content, failures or discontinuations, except to the extent directly caused by ZEHEN AI’s breach of its express obligations.

The Client is responsible for obtaining all required licenses, permissions, account access and authority to connect third-party systems. Third-party fees may apply.

14. Confidentiality

Each party may receive non-public confidential information from the other party, including business plans, pricing, Client Data, call data, technical information, credentials, workflow designs, security information and product information (“Confidential Information”).

Each party will:

  • use the other party’s Confidential Information only to perform or receive the Services or exercise rights under these Terms;

  • protect it using at least reasonable care; and

  • disclose it only to employees, contractors, advisers and service providers who need to know it and are bound by confidentiality obligations.

Confidential Information does not include information that the receiving party can demonstrate: is or becomes publicly available without breach; was lawfully known without confidentiality obligations; is independently developed without use of the other party’s Confidential Information; or is lawfully received from a third party without a duty of confidentiality.

A party may disclose Confidential Information where required by law, subpoena, court order or regulator, provided that it gives advance notice where legally permitted and reasonably cooperates to seek protective treatment.

15. Data Protection

Each party will comply with data-protection laws applicable to its own processing of personal data.

For personal data collected by ZEHEN AI for its Website, sales, client administration, billing, support and business operations, ZEHEN AI generally acts as a controller, as described in the Privacy Policy.

For Client Data processed by ZEHEN AI solely on the Client’s documented instructions in connection with the Services, the Client generally acts as controller and ZEHEN AI acts as processor or service provider. Before ZEHEN AI processes such Client Data, the parties will enter into or accept an appropriate DPA where required by applicable law.

The Client represents and warrants that it has all rights, lawful grounds, notices, consents and permissions required to provide Client Data to ZEHEN AI and instruct ZEHEN AI to process it.

The Client is responsible for:

  • deciding the purposes and means of its processing;

  • responding to individuals’ privacy requests as controller;

  • ensuring its collection, use, recording, marketing and communication practices are lawful;

  • configuring lawful retention, deletion, notice and consent practices; and

  • not instructing ZEHEN AI to process personal data unlawfully.

ZEHEN AI may use appropriate sub-processors to provide the Services, subject to applicable agreements and law. International transfers may occur, including to India and other jurisdictions where ZEHEN AI or authorised providers operate. Relevant transfer safeguards will be addressed in the DPA where applicable.

16. AI Services and Disclaimers

AI systems can be probabilistic and may produce inaccurate, incomplete, inappropriate or unexpected outputs. The Services are provided as tools to support the Client’s operations and do not replace the Client’s professional judgment, human review, business policies or legal/compliance obligations.

The Client is responsible for reviewing and validating any material output, including call transcripts, summaries, service classifications, appointment details, pricing-related information, customer communications and operational recommendations.

ZEHEN AI does not warrant that:

  • the Services will be uninterrupted, error-free, fully secure or available at all times;

  • every call will connect, be answered, be accurately transcribed, booked, routed or completed;

  • any AI output will be accurate, complete, suitable or legally compliant;

  • the Services will generate leads, revenue, bookings, savings, conversions, customer satisfaction, operational results or any other specific business outcome; or

  • third-party systems, internet networks, carriers, APIs or integrations will remain available or unchanged.

The Client remains solely responsible for all final business, customer-service, pricing, employment, safety, financial, medical, legal and operational decisions.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and Services are provided on an “as is” and “as available” basis.

ZEHEN AI disclaims all warranties, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, satisfactory quality, accuracy, availability and uninterrupted operation.

Nothing in these Terms excludes any warranty, representation, condition or right that cannot lawfully be excluded or limited.

18. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ZEHEN AI will not be liable for any indirect, incidental, special, exemplary, punitive or consequential losses or damages;

  • ZEHEN AI will not be liable for loss of profits, revenue, business, contracts, goodwill, anticipated savings, data, opportunity, reputation, business interruption or any similar economic loss;

  • ZEHEN AI will not be liable for losses caused by Client Data, Client instructions, Client configurations, Client failure to supervise the Services, third-party services, carrier/network failures, force majeure events, unlawful client use or decisions made in reliance on AI outputs; and

  • ZEHEN AI’s total aggregate liability arising out of or relating to the Website, Services or these Terms will not exceed the total fees actually paid by the Client to ZEHEN AI for the specific Services giving rise to the claim during the one month immediately preceding the event giving rise to liability.

Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable law does not permit exclusion.

19. Indemnity

The Client will indemnify, defend and hold harmless ZEHEN AI, Aman Hussain, contractors, affiliates, service providers and representatives from and against claims, liabilities, losses, damages, penalties, fines, costs and expenses, including reasonable legal fees, arising out of or related to:

  • Client Data or the Client’s lack of a lawful right to provide or use Client Data;

  • the Client’s calls, messages, marketing, recordings, scripts, campaigns, caller identification, consent records, customer notices or business practices;

  • the Client’s breach of these Terms, the DPA or applicable law;

  • the Client’s use of the Services in a prohibited, unlawful, negligent, misleading, fraudulent or harmful manner; or

  • an allegation that Client Data, Client materials or Client instructions infringe or violate a third party’s rights.

The Client must not settle a claim imposing liability or obligations on ZEHEN AI without ZEHEN AI’s written consent. ZEHEN AI may assume control of the defence of an indemnified claim at the Client’s expense where permitted by law.

20. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

The parties will first attempt in good faith to resolve any dispute through written discussions. If a dispute is not resolved within 30 days after written notice, the courts located in Madhya Pradesh, India will have exclusive jurisdiction, subject to any mandatory law that cannot lawfully be excluded.

Nothing in these Terms limits rights or protections that cannot be waived under applicable law.

21. Changes to These Terms

ZEHEN AI may update these Terms from time to time to reflect changes in law, the Services, technology, business operations, security requirements or commercial practices.

The updated Terms will be posted on the Website with a revised “Last Updated” date. Material changes will apply prospectively unless otherwise required by law or agreed in writing. Your continued use of the Website or Services after the updated Terms take effect constitutes acceptance of the updated Terms.

22. General Terms

These Terms, together with any applicable order form, statement of work, DPA, Privacy Policy and Refund & Cancellation Policy, form the entire agreement between the parties concerning the Website and Services, except where a separate written client agreement applies.

The Client may not assign or transfer these Terms without ZEHEN AI’s prior written consent. ZEHEN AI may assign these Terms in connection with a business transfer, restructuring, merger, acquisition or sale of assets.

If any provision is held unenforceable, the remaining provisions will remain in effect, and the affected provision will be enforced to the maximum extent permitted by law.

A failure to enforce a provision is not a waiver. Notices must be sent by email to the addresses used in the applicable client relationship, unless a written agreement specifies another method.
